If they were to forego the refund, I think the directors could be successfully sued personally by shareholders (in the case of a public corporation) or by the company itself, for breach of fiducial duty. But I claim no expertise.

Yes, they could. But that isn't an immediate process without majority cabinet agreement. And even if it is done, the president can refute it by letter and then gets a 4 day extension under the constitution, which is enough time for him to destroy much of human civilisation.
