There are two options: Collaborating with Marvel or buying the character from them. I'd wager that it's not worth the money for either since nobody has done it.
For example when IDW did Regeneration One (a continuation of the Marvel Comic) She only gets a passing mention, appears in as a sillhouette, and is called Circuit SMASHER. They also said she died.
While it's easier to license reprints of those issues, creating something new with her requires a lot more cooperationa and royalties.
She can't without some kind of licensing deal because she is owned by Marvel. If you open up an original copy of any issue with her in it and look at the indica, she has a separate copyright from the Transformers. Marvel created her and took pains to copyright her for themselves.
