Capricorn expects profit to increase up to 17% Chamwe Kaira Capricorn Group has told shareholders it expects profit after tax, earnings per share and headline earnings per share for the year ended 30 June 2025 to rise by between 12% and 17% compared to the previous year. The audited results are scheduled for release on or about 18 September. In the 2024 financial year, Capricorn reported profit after tax of N$1.74 billion, up 17.7% from N$1.48 billion in 2023. Return on equity increased to 17.9% from 17.6%. The growth was attributed to strong results across its businesses, including Bank Windhoek, Bank Gaborone, Capricorn Asset Management, Entrepo Group, Peo Finance and its associates. The group said it continues to prioritise adequate liquidity over profit maximisation. In 2024, liquid assets rose by 19.1% to N$18.5 billion from N$15.5 billion the year before. At the financial year-end, liquid assets exceeded regulatory requirements in Namibia and Botswana by 127% and 143%, respectively. The group’s loan-to-funding ratio of 86.3% also stayed below the internal threshold of 90%. An N$1 billion contingency funding reserve was maintained for Bank Windhoek and Bank Gaborone. Last year, the group declared a final dividend of 64 cents per share. Together with an interim dividend of 48 cents, this brought the total dividend to 112 cents per share, up from 100 cents in 2023. This was a 12% increase.  Capricorn paid out N$560 million in dividends during the 2024 financial year and issued an additional dividend of N$332 million in October 2024. The growth in share price and dividends produced a 39% return for shareholders in 2024. Bank Windhoek’s bondholders to receive 9.2% coupon payment Chamwe Kaira Bank Windhoek Limited has announced an interest payment on its BWZJ27 listed notes, according to a notice issued on the Johannesburg Securities Exchange (JSE).  Bondholders will receive a coupon payment of 9.2% for the interest period from 28 March 2025 to 28 June 2025.  The total interest amount is N$7.2 million. Payment will be made on 30 June 2025. PSG Capital acts as the debt sponsor for the BWZJ27 notes. Paladin Energy Ltd, which owns the Langer Heinrich uranium mine in the Erongo Region, has appointed Paul Hemburrow as managing director and chief executive officer.  His appointment is effective from 1 September. Hemburrow is currently the Chief Operating Officer of Paladin, a position he has held since 2023. He will also join the board of the company. The board will expand to include a Canadian resident director. Paladin said the appointment followed a planned and thorough succession process supported by global executive search firms.  Current CEO Ian Purdy has supported the transition and will remain available to assist the board and executive team until his notice period ends in mid-December. We are very confident in Paul’s ability to create value for shareholders in the years ahead, and this decision vindicates the leadership succession process the company has in place.” FirstRand Namibia Limited has disclosed a major off-market transaction involving board chairperson Otto Nakasole Shikongo.  The transaction was reported under the Namibia Stock Exchange (NSX) listing requirements. It involved the transfer of 939,366 ordinary shares. The shares were sold by Shikongo’s investment vehicle, Sovereign Capital (Pty) Ltd, and acquired by Tshothi Investments (Pty) Ltd, in which he also holds a directorship and shareholding. The deal took place on 23 June at N$47.11 per share, with a total value of N$44.2 million, excluding levies and commissions. Cirrus Securities (Pty) Ltd sponsored the transaction. Nictus Holdings Limited has announced a series of off-market share transactions tied to an internal group restructuring.  The restructuring focuses on consolidating the indirect shareholdings of board chairman GR de V Tromp and group managing director PJ de W Tromp across several trusts and corporate entities. The transactions were conducted at N$2.90 per share on 19 June 2025. They do not result in a change in beneficial ownership, except for a small disposal to a third party. Key transactions included the Nico Tromp Trust (trustees GR de V Tromp and PJ de W Tromp) selling 4,625,000 shares worth N$13.4 million. The Saffier Trust, with the same trustees, also sold 4,625,000 shares valued at N$13.4 million. Landswyd Beleggings (Pty) Ltd sold 17,009,356 shares for N$49 million. The PC Trust (trustee PJ de W Tromp) sold 2,112,480 shares for N$6 million. The Ngepi Trust (trustee GR de V Tromp) sold 1,804,304 shares worth N$5.2 million. Red Acre Trading (Pty) Ltd, directed by GR de V Tromp and owned by the Ngepi Trust, bought 14,933,982 shares valued at N$43 million. Ultra Investments (Pty) Ltd, directed by PJ de W Tromp and owned by the PC Trust, purchased 14,962,680 shares also valued at N$43 million. Haida Investments (Pty) Ltd, led by director and shareholder WO Fourie, acquired 279,478 shares worth N$810,486.

Bank Windhoek red run returns Staff Writer  The 2025 edition of the Bank Windhoek Red Run has returned with a total prize pool of N$60,000.  The event will take place on Saturday, 9 August, at the Ramblers Sports Club in Windhoek. Organised in partnership with the /Ae //Gams Sports Club, the event offers race distances of five kilometres, ten kilometres, and 21.1 kilometres.  The first 1,000 participants to register will receive a free Bank Windhoek Red Run t-shirt. This year’s event is themed “Run with Heart, Run with Love” and will be a timed race, with a strict cut-off finish time of 11:30 on race day.  Bank Windhoek noted that routes will be clearly marked, water points will be available throughout, and vendors will also offer food and drinks at the venue. This is a platform that empowers young people and for that we say thank you to Bank Windhoek,” he said.  “But now that I’m a politician I’d like to challenge our private sector to do more, so that in 2026 I can stand here and say that we are now taking it to all 14 regions of Namibia… We want the private sector to step forward and to emulate and to collaborate. We should never squeeze the one, or two, or three corporates that are supporting us too much, so I think the call to action is for more corporates, I’m not even going to mention names. I mean, we all buy food at different shops, isn’t it, and I’ve never seen those shops host football tournaments,” he said.   “Youth development is a collective responsibility, it is not the mandate of the ministry alone. Let us work together to create more opportunities like this, not only in the Khomas region, but across all disciplines and all sport codes. Things start and they grow and they manifest and evolve organically, and as we grow, it will grow into something beautiful with many stakeholders on board,” he added.  Ballotti called on the players to remain humble and to use the opportunities to the best of their abilities.  “There’s a message I want to emphasise, and that’s remaining humble in both defeat and victory. It’s very important for young people to be extremely competitive but have humility, I think those are the life qualities we want to emphasise for our young athletes,” he said.  “Also know that scouts are watching. I’m almost certain that every premiership team will be eagerly watching the matches, even coaches, perhaps from other countries, and hopefully we can also have international teams partaking in this tournament in future,” he added.  Harald Hecht, the president of Ramblers Sport Club which is organising the tournament said this year’s tournament will be held in Windhoek, as well as Keetmanshoop for the first time.  “It has become evident that the tournament has grown in popularity and cemented it’s place on the local football calendar. The exposure that these youngsters gain, and the opportunity for talent scouting by premier league teams in particular, allows for the establishment of possible collaboration between soccer academies and premier league teams.  “After consultations between Ramblers Club and the Bank Windhoek as the sponsor, this year will see the tournament being held in Keetmanshoop, in addition to a tournament in Windhoek. ‘Koos’ Brandt retires from Bank Windhoek CHAMWE KAIRA  The board of directors of Bank Windhoek has announced the retirement of Jacobus Christiaan “Koos” Brandt as a non-executive director of Bank Windhoek. The group said Brandt retired from the board on 30 April, concluding an illustrious career of over four decades with Bank Windhoek and Capricorn Group Limited. Brandt is one of the founders of Bank Windhoek, leading the group of visionary entrepreneurs who established Bank Windhoek in 1982. He has served Capricorn Group and Bank Windhoek with distinction in various leadership capacities. Notably, Brandt was the chairperson of Bank Windhoek from 1982 until 30 June 2017, and he also played a pivotal role in the formation of Capricorn Group in 1996, serving as its inaugural chairperson until 2017. Brandt has been integral to the growth and success of both Bank Windhoek and Capricorn Group. The board further announced the continuation of JW Brandt as alternate director of E Solomon, effective 1 May, following the retirement of Koos Brandt. JW Brandt has been Koos Brandt’s alternate director since 2016. The board of Bank Windhoek expressed its deepest appreciation to Koos Brandt for his unparalleled service, leadership and dedication. In acknowledging his retirement, the board noted that Brandt’s vision and foresight have shaped the identity and success of Bank Windhoek and Capricorn Group. In 2018, Brandt said it was almost unbelievable that Capricorn Group had grown sustainably and responsibly in a phenomenal way and continued to conquer and expand. On 20 June 2013, Capricorn listed on the Namibian Stock Exchange (NSX). On 12 May 2017, the largest institutional investor in Namibia, the Government Institutions Pension Fund (‘GIPF’), acquired a 26% interest in the issued ordinary shares of Capricorn Investment Group Limited. All the necessary regulatory approvals were received, and the transaction became effective. Furthermore, Capricorn Group announced the appointment of Johannes Jacobus Esterhuyse as a non-executive director of Bank Windhoek Limited effective 30 April. “Regulatory approval for the appointment of Mr Esterhuyse has been obtained. The appointment was made pursuant to the policy dealing with the nomination of directors of Bank Windhoek. The board welcomes Mr Esterhuyse and looks forward to benefiting from his insights and contributions in the future,” the group said.

SMEs discuss challenges faced Bank Windhoek last week hosted 20 established and aspiring small and medium entrepreneurs (SMEs) from diverse sectors for an information session in which they discussed challenges they face. The event was held in partnership with the City of Windhoek at the Bokamoso Training Centre in Windhoek on 8 April and it brought together participants from education, beauty, retail, art and other sectors. Bank Windhoek head of SME and financial and data analytics Bianca Janse van Vuuren says the session also explored collaborative solutions to the challenges. “These open discussions are a key part of Bank Windhoek’s role as a connector of positive change, aiming to guide each SME towards accessing the financial products needed for sustainable growth,” she said. So far, the competition has attracted more than 100 entries, including from both established and up-and-coming artists. Artists who have entered the competition include some of Namibia’s biggest names, such as PDK, Ann Singer, Miss Gideon, Cazzy, TopCheri, Stella, Teqla, James Omlongo, Ian Lovly, Oteya and Jericho. The platform has also seen the participation of emerging artists and even the revival of some groups that had been inactive for years. STRONG RESPONSE According to Bank Windhoek marketing and corporate communication executive Jacqueline Pack, the overwhelming response has exceeded expectations. “We anticipated a strong reaction, but the level of enthusiasm and creativity has truly impressed us. This competition proves that Namibian artists are ready to take on any challenge,” Pack says. The competition has sparked debate within entertainment circles, with some questioning the fairness of emerging artists competing against industry veterans. However, Bank Windhoek maintains that the competition is designed to be inclusive and fair for all participants. “To ensure fairness, the competition is entirely public-driven, meaning winners are decided based on legitimate views and engagement across YouTube, Instagram and TikTok. This removes bias and allows all artists to showcase their talent on an equal footing,” Pack explains. Pack assures that the competition was designed as an inclusive platform for all Namibian artists, regardless of their experience or industry standing. The competition is entirely public-driven, meaning the audience decides the winners. This ensures a fair and transparent selection process, where creativity and originality take centre stage. JUDGING CRITERIA & PRIZES Submissions are evaluated based on overall quality, artistic interpretation and musical composition. Artists are encouraged to showcase their vocal or instrumental technique and originality to make their remix stand out. However, the final decision rests with the public, as winners will be determined by the total number of legitimate views accumulated on social media. Any attempts to manipulate engagement, such as using bots or paid traffic, will lead to disqualification. The competition comes with enticing rewards for the top three artists: * First place: N$70 000 * Second place: N$50 000 * Third place: N$30 000 PUBLIC VOTING OPEN As the excitement around the competition continues, the public still has the opportunity to vote for their favourite remixes. Fans can support their preferred artists by watching, liking and sharing their videos on YouTube, Instagram and TikTok. The more engagement an entry receives, the better its chances of winning.
