AG told defence ministry to pay Enercon forex fees  Hertta-Maria Amutenja The ministry of defence and veteran affairs (MoDVA) is legally obliged to pay Enercon Namibia PTY Ltd monthly service bureau charges dating back to 2016, a legal opinion has found. The opinion, dated 19 December 2024 and addressed to minister Frans Kapofi by attorney general Festus Mbandeka, states that the charges are contractually owed regardless of whether Enercon rendered services during the period. “Service bureau charges are a fixed amount which becomes owing at the completion of each contractually stipulated time. A service bureau company, Enercon in this instance, agrees to provide services during that period, each month in this instance, and in return the MoDVA is obliged to pay the service bureau company that fixed amount whether or not any service has been rendered,” Mbandeka wrote. He rejected MoDVA’s argument that the claim had expired, noting that the contract is still valid and does not require monthly invoicing.  “The obligation to pay arises out of the contractual provision, and no other provision requires that some service actually has to be proved to have been rendered. Even if the service bureau company tenders services which cost more than the service bureau charges as stipulated, it is only entitled to the contractually stipulated amount and not more,” he said. Mbandeka advised the ministry to settle the claims to avoid lengthy legal proceedings, warning that arbitration would suspend but not cancel the prescription period.  “MoDVA is contractually obliged to pay these monthly service bureau charges. Furthermore, these claims will continue to increase for as long as the agreement is still valid. If the ministry still wants to continue with this agreement, our office may assist MoDVA to renegotiate these monthly charges provisions to be limited to services rendered with proof thereof that the services were performed and not how it currently reads to be payable monthly whether work has been performed or not,” he said. Under the agreement, charges are set at N$42 250 per completed home base station per month and N$33 221.36 for each strategic petroleum reserve facility.  The charges continued to accrue monthly and will escalate unless the ministry settles or renegotiates with Enercon. Enercon is linked to Namcor corruption accused brothers Peter and Malakia Elindi. Other partners include fugitive Victor Malima and Austin Elindi – the son of Peter.  The company entered into a 15-year contract with MoDVA on 15 September 2016 to supply petroleum products and construct fuel base stations.  The deal included provisions for strategic petroleum reserve facilities and home base stations, with charges increasing by 10% annually. Earlier this year, Enercon received N$60.9 million as a partial settlement but is still pursuing N$484 million in damages over what it calls an unlawful termination of the contract.  MoDVA has argued that some claims were prescribed, while Enercon insists the termination was unjustified. On Monday, the Windhoek High Court placed the company under a final liquidation order to recover a debt of N$114 million owed to Namcor Trading and Distribution (Pty) Ltd, a subsidiary of the state-owned petroleum company Namcor.

Jennifer had keys into Enercon bank account before Namcor deal Justicia Shipena Anti-Corruption Commission (ACC) chief investigating officer Oberty Inambao told the court  on Monday that former Namcor finance executive Jennifer Hamukwaya had access to Enercon Namibia’s bank account five months before the company entered into  any agreement with the National Petroleum Corporation of Namibia (Namcor). Testifying in the ongoing bail hearing in the high-profile fuel corruption case, Inambao said the ACC obtained a resolution dated 26 October 2021 authorising Hamukwaya’s access to the Enercon account. “As part of the account opening documentation obtained, there was a resolution made by Enercon… in which Jennifer Hamukwaya was given access,”said  Inambao. He told the court that the resolution did not indicate the purpose of her access. Furthermore, there was no documentation from Namcor authorising her to be a signatory to Enercon’s account. The account later became central to a fuel supply agreement signed on 15 March 2022. Under the agreement, payments from the Ministry of Defence and Veterans Affairs to Enercon were to be debited by Hamukwaya and transferred to Namcor. “The condition was that Jennifer would be granted access to one of Enercon’s accounts, which would act as another level of security… to ensure that money credited to that account by the Ministry of Defence… would be debited by her and credited to Namcor’s account,” he said. He said the ACC’s investigation began on 7 February 2024, following an anonymous tipoff alleging that Cornelius ‘Cedric’ Willemse was involved in corrupt activities and depositing large sums of money into his personal accounts.  A separate police docket, later submitted to the ACC, listed Willemse as a suspect under different allegations. Inambao testified that the relationship between Namcor and Enercon began on 19 November 2021, when Enercon provided a N$5 million credit guarantee to Namcor.  Under Namcor’s policy, such guarantees were required to manage client default risks. However, on 29 November 2021, Jennifer cancelled the guarantee. “Evidence shows that the credit guarantee was cancelled by Jennifer Hamukwaya as there was allegedly something wrong with the guarantee,” Inambao said. Following the cancellation, Enercon’s credit limit was reduced to zero, meaning they could only receive fuel on a cash basis. From 15 December 2021 to March 2022, Enercon assumed liabilities of N$73 million previously owed by Eco Fuel Investment CC, owned by Victor Malima. He said a resolution dated 2 March 2022 confirmed that Enercon had taken over the debts and intended to negotiate an exclusive supply agreement with Namcor. The fuel supply agreement was signed on 15 March 2022, with a credit facility of N$15.5 million. Inambao said Enercon never provided a new credit guarantee. Instead, government purchase orders from the ministry of defence were used as collateral. “It was indicated that all the purchase orders issued by Enercon to Namcor would be accompanied by a government purchase order issued by the ministry of defence,” Inambao said. He also revealed that by 10 May 2022, Namcor was already planning to acquire Enercon’s fuel infrastructure.  The deal was signed by former Namcor managing director Immanuel Mulunga on 18 July 2022. Inambao said this was done without following Namcor’s financial, procurement, or budgeting procedures. The value of the fuel infrastructure in the agreement was N$53.2 million. According to him, the complaint that triggered the ACC investigation was filed by a Namcor board member and chairperson of the audit and finance committee of Namcor Trading. The complaint stated that the acquisition was done without the broader company’s knowledge. Inambao confirmed that Enercon shareholders include brothers Peter and Malakia Elindi. Retired army brigadier James Auala was also listed as a director in Enercon’s records obtained from the Business and Intellectual Property Authority (Bipa). The state alleges that the accused were involved in a syndicate that defrauded Namcor of about N$480 million. Those implicated include Peter and Malakia Elindi, Immanuel Mulunga, Willemse, Jennifer and her husband Panduleni Hamukwaya, Olivia Grace Dunaiski, and Lydia Elindi. Victor Malima has reportedly fled to Angola and is subject to a warrant of arrest. The state alleges that between 1 August 2022 and 4 May 2023, Namcor former employees Willemse, Jennifer, and Dunaiski corruptly supplied fuel to Enercon and Erongo Petroleum CC without following internal procedures. The value of the fuel supplied was estimated at N$277 million.

Enercon sold fuel rights behind defence ministry’s back Hertta-Maria Amutenja A document presented in the Windhoek Magistrate’s Court revealed that Enercon Namibia (Pty) Ltd sold fuel station assets to the National Petroleum Corporation of Namibia (Namcor) without informing the ministry of defence and veterans affairs. The document, signed by the ministry’s executive director Wilhelmine Shivute, stated that Enercon never communicated its intention to sell the assets, which were situated on ministry property. The state argued that the ministry had not granted any authorisation for the sale. During cross-examination on Monday, state prosecutor Menencia Hinda told accused Malakia Elindi—then a director at Enercon—that he had no legal right to sell the assets or associated rights to Namcor. “You were not in a position to sell anything to Namcor because Enercon was not the owner,” Hinda said. Malakia, who is applying for bail in the ongoing corruption and money laundering case, responded that Enercon had the right to enter the agreement. “We are having rights entitled to enter into an agreement for those assets, as we built them with our own funds,” he said. He told the court that the agreement with the ministry allowed Enercon to independently fund and construct the facilities. He confirmed that ownership of the assets would only transfer to the ministry in 2031. “Yes, that’s correct. There was a 15-year timeline, and we are not yet in 2031,” Malakia said. Further questioning revealed that Namcor paid Enercon N$53 million for exclusive rights to supply fuel to the Ministry of Defence. However, Namcor never delivered any fuel under the deal. Instead, Enercon continued supplying fuel after the transaction. Malakia told the court this was due to national security concerns. He insisted that Enercon was not legally obligated to inform the ministry about the agreement with Namcor. He denied allegations that Enercon illegally sold nine fuel stations to Namcor, saying the infrastructure was built using Enercon’s funds. He also confirmed that both he and his brother, Peter Elindi, signed the asset purchase agreement with Namcor. Hinda accused Malakia of misleading the court about the circumstances of his arrest, specifically his claim that he left his children alone when taken into custody. She said Malakia had made phone calls to arrange care for the children. “Firstly, you phoned your brother, who did not pick up, and thereafter you called a female who came to the aid of the children,” said Hinda. Malakia rejected this version. “I did not call someone from outside. The person who was there was already inside the house, which is my second wife,” he said. Hinda pressed him on why he gave the impression that the children were alone. “So why are you telling the court that you left three children all by themselves in the house? Because that is the image you portrayed to the court,” she said. “I said I left them sleeping, as we had just arrived that morning at 05h00. I also said they had not seen their parents since the arrest until today. I am standing on that point,” Malakia responded. The questioning formed part of Malakia’s ongoing bail hearing in a case that involves eight others. He is one of several accused in the Namcor-Enercon corruption case, which centres around the irregular awarding of a N$400 million fuel supply tender to Enercon. The state claims Namcor acquired rights, title, and interest in nine service station assets as part of the alleged scheme. Malakia previously declared assets worth N$113 million and liabilities over N$18 million. He said his arrest has hurt his financial position.  His assets include a N$22 million house in Ondangwa and a N$6.8 million investment with BV Bank. His liabilities total N$6.2 million. Hinda also questioned Malakia about his relationships with individuals mentioned in the case. Malakia denied having personal ties with most of them. On former Namcor managing director Immanuel “Imms” Mulunga, he said, “I only know him because he is from Omutele village in Oshikoto, where I was born.” He said he only knew Namcor employee Cornelius Willimese by name. “I do not have a personal relationship with him. It is the same with Jennifer Hamukwaya.” Malakia said he knew Jennifer’s husband, Panduleni Hamukwaya, because he was in Cuba with his brother Peter. “I know him only as Jennifer’s husband.” He said he knew Victor Malina because Malina grew up in Peter’s house. “He is the son of my brother Peter Elindi’s sister-in-law.” On Leo Nandago, he said, “I only got to know him at court.” Malakia also clarified that retired army brigadier James Auala was not a signatory to Enercon’s bank accounts in 2022. “In 2022, only Peter and I were signatories to the Enercon bank account,” he said. The bail hearing continues.

FuelGate: Enercon faces collapse Justicia Shipena  Enercon Namibia (Pty) Ltd has until 22 July to convince the High Court why it should not be liquidated over unpaid fuel debts to Namcor, just weeks before the company and its directors were charged in a multi-million-dollar corruption and racketeering case.  The military-linked fuel supplier, partly owned by the Ministry of Defence through August 26 Holdings, is now at the centre of one of the country’s biggest public sector corruption scandals. Established in 2007, Enercon operates in fuel supply, construction of storage facilities, petroleum distribution, and fuel management. It operates in the fuel supply sector, focusing on the construction of fuel storage facilities, petroleum distribution, and fuel management. Enercon faces charges under the anti-corruption act and the prevention of organised crime act, including racketeering, conspiracy, possession or use of proceeds from unlawful activities, and violating section 2(1)(a) of the 2004 act. The charges stem from a 2022 deal in which Namcor paid Enercon N$53 million for access to its military-connected fuel supply contracts and infrastructure.  The deal later  collapsed after objections from the Defence Force. Enercon later cancelled the agreement but failed to return the money.  The funds remain unaccounted for, and the ministry of defence has not issued a statement since the Anti-Corruption Commission (ACC) has made arrests allegedly linked to the matter.  Enercon is also at the centre of another court battle involving the fraudulent sale of Namcor’s fuel storage facilities for N$52 million.  Namcor challenged the transaction and sought a court order to nullify the deal and hold the directors personally liable.  Among those linked to the transaction are former Namcor managing director Immanuel Mulunga, retired brigadier general James Auala, businessman Peter Elindi, and his brother Malakia Elindi, all directors of Enercon at the time. In January 2025, Namcor obtained a provisional winding-up order against Enercon Namibia and Erongo Petroleum CC after the two companies failed to repay over N$300 million in fuel debt.  Namcor had entered into Fuel Supply Agreements and Supplementary Credit Facility Agreements with the two companies, on 10 September 2020 and 20 August 2020 with Erongo, and on 16 March 2022 and 05 April 2022 with Enercon. Namcor supplied Diesel 50PPM, ULP95, and lubricants to Erongo and Diesel 50PPM to Enercon.  By November 2023, Enercon reportedly owed N$114 million.  High Court Judge Shafimana Ueitele ruled that although the cases were not formally consolidated, they were heard together.  He ordered the companies to show cause by 22 July 2025 why they should not be liquidated. Enercon is 75% owned by the Elindi brothers and 25% by August 26 Holdings. Erongo Petroleum CC is owned by Austin Elindi, son of Peter Elindi. This week, the ACC arrested Peter and Malakia Elindi on corruption and racketeering charges. They appeared in the Windhoek Magistrate’s Court on Thursday alongside Mulunga; supply and logistics manager Cornelius Petrus Willemse; former chief financial officer Jennifer Hamukwaya; her husband, Panduleni Hamukwaya; Olivia Grace Dunaiski; and Lydia Elindi, wife of Malakia Elindi. Other companies named in the case include Onyeka Clearing and Forwarding CC, Nyambali Medical Centre CC, Panduleni Farming CC, and Parkwood Petroleum Logistics CC. State prosecutor Menencia Hinda told the court that the case involves the alleged misappropriation of over N$480 million.  However, she did not elaborate on how the funds were misappropriated.
