Glass Lewis confirms advice to Mediobanca investors to back Banca Generali bid MILAN (Reuters) -Leading governance adviser Glass Lewis on Wednesday confirmed its recommendation to Mediobanca shareholders for a vote in favour of the bid to acquire private bank Banca Generali, a document showed. The vote to be held on Aug. 21 had initially been scheduled for June 16. It was postponed as the proposal risked lacking sufficient support due to friction between the Italian merchant bank’s top management and some of its leading investors. "We continue to believe that Mediobanca shareholders should support the company’s proposal," Glass Lewis wrote in a report seen by Reuters. "We find no reason to amend our prior recommendation at this time," it added. Glass Lewis sues Texas over proxy advice restrictions (Reuters) -Glass Lewis, one of the best known proxy advisers, sued Texas on Thursday over a new, first-of-its-kind state law limiting its ability to give shareholders advice on diversity, environmental and governance practices. In a complaint filed in Austin, Texas federal court, Glass Lewis says the law was unconstitutional, violating its First Amendment right to freedom of association and protection against viewpoint discrimination. Glass Lewis recommends votes "against" CEO pay at Goldman Sachs (Reuters) - Proxy adviser Glass Lewis recommended investors cast advisory votes "against" the pay of top Goldman Sachs executives, citing the Wall Street bank’s "continued inability to align pay with performance" and retention grants that Glass Lewis called excessive. In a report sent late on Friday Glass Lewis noted the combined $160 million in retention awards the Wall Street bank gave to CEO David Solomon and to President John Waldron in January. "While we will review the impact of the additional $160 million on the Company’s pay and performance alignment within the full scope of 2025, thus far, the provided discussion regarding the rationale in the proxy statement is far from robust," Glass Lewis wrote in the report. Goldman Sachs representatives did not immediately respond to a request for comment on Saturday.
